Welcome to Fortis Mobile Money Ltd.
These Terms and Conditions (“Terms”) govern your access to, interaction with, and use of the Fortis Mobile Money website, mobile applications, software platforms, APIs, and all related products and services (collectively referred to as the “Service”).
The Service is designed to provide users with access to regulated mobile financial services, including but not limited to:
- Creation and operation of mobile money wallets
- Transfer of funds between wallets and bank accounts
- Peer-to-peer wallet transfers
- Payment for goods and services offered by third-party merchants
- Other digital financial services permitted under applicable Nigerian laws
The Service is operated by Fortis Mobile Money Ltd (“FortisPay,” “Fortis,” “we,” “us,” or “our”), a financial services provider operating in Nigeria and subject to applicable regulatory oversight.
2. Legal Effect And Acceptance Of Terms
These Terms constitute a legally binding agreement between you (“you,” “user,” or “customer”) and Fortis Mobile Money Ltd.
By accessing, registering for, or using any part of the Service, you expressly:
- Acknowledge that you have read and understood these Terms
- Agree to be legally bound by them
- Confirm that you have the legal capacity to enter into a binding agreement
If you do not agree with any provision of these Terms, you must immediately discontinue use of the Service.
You represent and warrant that you are not less than eighteen (18) years of age and that you are legally permitted to use the Service under Nigerian law.
3. Nature, Scope, And Availability Of The Service
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. While Fortis Mobile Money strives to maintain continuous and reliable access, we do not guarantee that the Service will always be available, uninterrupted, timely, secure, or error-free.
The scope of the Service may change from time to time due to:
- Regulatory requirements
- Operational upgrades
- Security enhancements
- Product improvements or discontinuations
Fortis Mobile Money reserves the right to modify, suspend, restrict, or discontinue any aspect of the Service at its sole discretion, subject to applicable laws.
4. Account Registration And Eligibility
To access and use the Service, you must successfully register an account with Fortis Mobile Money.
Account registration requires that you:
- Provide a valid and active mobile phone number
- Consent to the creation of a wallet or account linked to that number
- Accept these Terms and all related policies
- Provide accurate, current, and complete personal or business information
- Submit any additional information or documentation requested for regulatory or operational purposes
Fortis Mobile Money reserves the right to:
- Decline account registration requests
- Request additional verification
- Place limitations on accounts based on risk assessments
- Suspend or terminate accounts containing false, misleading, or outdated information
5. Know-Your-Customer (KYC) And Regulatory Compliance
All users are subject to identity verification and regulatory compliance requirements, including but not limited to:
- Know-Your-Customer (KYC) obligations
- Know-Your-Business (KYB) obligations (where applicable)
- Anti-Money Laundering (AML) laws
- Counter-Terrorism Financing (CTF) regulations
You acknowledge that:
- Account access levels and transaction limits may be determined by your KYC tier
- Failure to comply with verification requests may result in account restrictions or closure
- Fortis Mobile Money is legally required to share information with regulators or law enforcement when mandated
6. Security, Authentication, And User Responsibilities
Upon registration, you will be issued a Personal Identification Number (PIN) or other authentication credentials.
You agree and acknowledge that:
- You are solely responsible for safeguarding your credentials
- You must not disclose your credentials to any third party
- Any transaction conducted using your credentials shall be deemed authorized by you
Fortis Mobile Money shall not be liable for any loss or damage arising from:
- Compromised credentials
- Unauthorized access resulting from user negligence
- Failure to promptly notify Fortis Mobile Money of suspected fraud
7. Intellectual Property And Content Ownership
All content made available through the Service, including text, software, graphics, images, videos, audio, documents, downloadable materials, and branding elements (“Content”), is the exclusive property of Fortis Mobile Money Ltd or its licensors.
Such Content is protected by Nigerian and international intellectual property laws.
You are granted a limited, revocable, non-exclusive, non-transferable licence to access the Content solely for personal and lawful use. You may not:
- Reproduce or distribute Content for commercial purposes
- Modify or create derivative works
- Reverse engineer any software component
8. Third-Party Merchants And Products
The Service provides access to independent third-party merchants (“Merchants”) offering products and services, including airtime, utilities, and other goods.
You acknowledge that:
- Merchants operate independently of Fortis Mobile Money
- Merchant products are governed by the Merchant’s own terms
- Fortis Mobile Money does not endorse or guarantee Merchant products
Any transaction with a Merchant is conducted at your own risk, and Fortis Mobile Money shall not be liable for disputes, quality issues, or service failures relating to Merchant products.
9. Payment Processing And Authorization
Payments initiated through the Service are processed by third-party payment processors, including banks, mobile money operators, and card networks (“Payment Processors”).
You understand and agree that:
- Fortis Mobile Money does not directly process payments
- Payment Processors have separate terms governing transactions
- Transaction failures, reversals, or delays may occur beyond Fortis Mobile Money’s control
By authorizing a transaction, you consent to the debit of your wallet, account, or card.
10. Online Forms And Data Submission
When completing online forms or submitting data through the Service, you agree to provide accurate, complete, and truthful information.
Fortis Mobile Money reserves the right to:
- Reject inaccurate submissions
- Delete incomplete data
- Restrict accounts associated with false information
11. Web Account Opening
Initiation of online account opening does not guarantee approval.
All accounts are subject to:
- Internal risk assessments
- Regulatory compliance checks
- Additional documentation where required
Fortis Mobile Money reserves absolute discretion in approving or rejecting applications.
12. Privacy And Data Protection
Your personal data is collected, processed, and stored in accordance with Fortis Mobile Money’s Privacy Policy, which forms an integral part of these Terms.
By using the Service, you consent to such processing. Fortis Mobile Money shall not be responsible for the privacy practices of Merchants or Payment Processors.
13. Prohibited Uses And Illegal Activities
You must not use the Service to:
- Violate applicable laws or regulations
- Commit fraud, money laundering, or financial crimes
- Infringe intellectual property rights
- Disrupt or compromise system security
Fortis Mobile Money may immediately restrict or terminate accounts suspected of illegal activity and report such activities to regulators or law enforcement agencies.
14. Communications And Notifications
You consent to receiving communications from Fortis Mobile Money via SMS, email, calls, or electronic channels.
You may opt out of promotional messages but cannot opt out of essential service, security, or regulatory communications.
15. Service Suspension And Discontinuation
Fortis Mobile Money may suspend or discontinue the Service for regulatory, security, or operational reasons.
Where practicable, notice will be provided. Fortis Mobile Money shall not be liable for losses arising from such actions.
16. Indemnity
You agree to indemnify and hold harmless Fortis Mobile Money, its directors, officers, employees, and partners from any claims arising from:
- Your use of the Service
- Breach of these Terms
- Violation of third-party rights
17. Warranties And Disclaimers
The Service is provided without warranties of any kind. Fortis Mobile Money disclaims all implied warranties, including merchantability and fitness for a particular purpose.
18. Limitation Of Liability
To the fullest extent permitted by law, Fortis Mobile Money shall not be liable for any indirect, incidental, consequential, or punitive damages arising from use of the Service.
19. Dispute Resolution
These Terms are governed by Nigerian law. Disputes shall be resolved by arbitration seated in Abuja under the Rules of the Chartered Institute of Arbitrators (UK). Awards shall be final and binding.
20. Modifications To Terms
Fortis Mobile Money may amend these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
21. General Provisions
These Terms constitute the entire agreement between the parties. Invalid provisions shall not affect the enforceability of remaining clauses.
